The terms governing access to and use of CliEvi's website, services, and deliverables.

1. Acceptance of Terms
By accessing the CliEvi website (clievi.com) or engaging CliEvi for any research, analytical, or medical writing services, you ("Client") agree to be bound by these Terms & Conditions. If you are entering into these terms on behalf of an organization, you represent that you have authority to bind that organization.
These Terms apply alongside any Project Agreement, Statement of Work (SOW), or engagement letter signed between the parties. In the event of conflict, the signed project-specific agreement takes precedence.
2. Services Description
CliEvi provides clinical and evidence-based research services including but not limited to:
- Real-World Evidence (RWE) and Real-World Data (RWD) analysis
- Health Economic Outcomes Research (HEOR) and Health Technology Assessments (HTA)
- Systematic literature reviews, meta-analyses, and evidence synthesis
- Clinical study reports and regulatory writing
- Medical writing, manuscript services, and research support
- Statistical modeling and epidemiological analysis
- Data cleaning, visualization, and infographic creation
All services are delivered as described in the applicable SOW or project proposal. CliEvi reserves the right to engage qualified sub-contractors under appropriate confidentiality obligations.
3. Client Responsibilities
Clients are responsible for:
- Providing accurate, complete, and lawfully obtained data required for the project
- Ensuring all data shared with CliEvi complies with applicable regulations (including IRB approvals, data sharing agreements, and patient consent frameworks)
- Reviewing and approving deliverables within agreed timelines
- Notifying CliEvi promptly of any changes in project scope or requirements
- Making timely payment as per agreed terms
4. Intellectual Property
Client data: All data, materials, and proprietary information provided by the Client remain the sole property of the Client.
Deliverables: Upon full payment, CliEvi assigns to the Client all intellectual property rights in project deliverables (reports, analyses, manuscripts) specifically created for that project.
CliEvi methodologies: CliEvi retains all rights in its proprietary methodologies, templates, tools, know-how, and analytical frameworks developed independently of any client engagement. These are not transferred as part of any project.
Publications: If deliverables are intended for academic publication, authorship and attribution will be governed by agreed terms in the project SOW.
5. Payment Terms
- Fees are as agreed in the project proposal or SOW
- Unless otherwise specified, invoices are due within 14 days of issue
- Late payments may be subject to interest at 1.5% per month or the maximum permitted by law
- CliEvi reserves the right to pause or discontinue work pending overdue payments

6. Confidentiality
Both parties agree to maintain strict confidentiality over each other's non-public information. CliEvi will not disclose client project details, data, or findings to any third party without explicit written consent. For detailed terms, see our NDA / Confidentiality Policy.
7. Limitation of Liability
To the maximum extent permitted by applicable law, CliEvi's total cumulative liability for any claims arising from a project shall not exceed the total fees paid by the Client for that specific project.
CliEvi is not liable for outcomes arising from the Client's use or misuse of research deliverables, including clinical, regulatory, or commercial decisions based on our analyses.
8. Warranties & Disclaimers
CliEvi warrants that:
- Services will be performed with reasonable professional skill and care
- Team members working on projects have appropriate qualifications
- Deliverables will materially conform to the agreed SOW
CliEvi does not warrant that research findings will support any particular conclusion, regulatory approval, or commercial outcome. Research results are evidence-based and subject to the limitations inherent in any scientific analysis.
9. Termination
Either party may terminate a project engagement with 14 days' written notice. Upon termination:
- The Client shall pay for all work completed to date at an agreed pro-rated amount
- CliEvi will deliver all completed work product and return or delete client data as requested
- Confidentiality obligations survive termination indefinitely
10. Governing Law
These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to arbitration or the jurisdiction of competent courts in India, unless otherwise agreed in writing.
11. Changes to Terms
CliEvi may update these Terms from time to time. Material changes will be communicated via email to active clients or posted on our website. Continued use of our services after such notice constitutes acceptance.
